By accessing or using PayGate's payment gateway services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

PayGate provides payment processing infrastructure including but not limited to:

  • Virtual account generation for merchants
  • Payment processing and settlement
  • API access for payment integration
  • Real-time transaction webhooks
  • Analytics and reporting dashboards
  • KYC verification services

3. Merchant Obligations

As a merchant using PayGate, you agree to:

  • Provide accurate and complete business information
  • Complete KYC verification as required
  • Comply with all applicable laws and regulations
  • Not use our services for illegal activities
  • Maintain the security of your API credentials
  • Pay all applicable fees and charges

4. Prohibited Activities

The following activities are strictly prohibited on our platform:

  • Money laundering or illegal gambling
  • Pyramid schemes or Ponzi schemes
  • Adult content or services
  • Drugs or controlled substances
  • Counterfeit goods or intellectual property infringement
  • Unauthorized use of another's financial information

5. Fees and Payments

Our standard transaction fee is 1.5% per transaction. There are no setup fees or monthly subscription fees. We reserve the right to modify our fees with 30 days' notice. All fees are deducted automatically from settlements.

6. Settlement and Payouts

Funds are settled to your registered bank account on a schedule you control. Standard settlement time is T+1 business day. We reserve the right to hold funds for risk assessment or investigation of suspicious activities.

7. KYC Requirements

To comply with financial regulations, all merchants must complete KYC verification before accessing full platform features. Required documents may include:

  • Government-issued ID (National ID, Passport, Driver's License)
  • BVN verification
  • Proof of business registration (CAC documents for businesses)
  • Utility bill for address verification

8. Data Security and Privacy

We implement bank-grade security measures including:

  • End-to-end encryption for all sensitive data
  • PCI DSS compliance for payment data
  • Regular security audits and penetration testing
  • Multi-factor authentication for API access

9. Liability and Indemnification

PayGate shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. You agree to indemnify and hold PayGate harmless from any claims arising from your violation of these terms.

10. Account Suspension and Termination

We reserve the right to suspend or terminate your account for:

  • Violation of these Terms of Service
  • Excessive chargebacks or disputes
  • Fraudulent or illegal activities
  • Failure to complete KYC verification

Upon termination, any pending funds will be held for up to 180 days to cover potential chargebacks or disputes.

11. Modifications to Terms

We may modify these terms at any time. Material changes will be communicated via email or dashboard notification 30 days in advance. Continued use of our services constitutes acceptance of modified terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria.
